Appre Account Holder Agreement

1. Introduction

 

Welcome to Appre, this document serves as a legal agreement delineating the rights and responsibilities of both you and Appre ("we," "us," or "Appre") concerning our website and the services provided through it (referred to as "Appre Services"). It's essential to thoroughly review and comprehend this agreement before registering for Appre Services. By accessing or utilizing our platform and its services, you signify your agreement to abide by these terms. Kindly take the time to familiarize yourself with this agreement before utilizing the Appre services. Please be advised that these terms may undergo periodic updates. Upon registration or engagement in transactions through our platform, you establish an "Account" and assume the role of an "Account Holder."

2. Our Services

 

Appre Services provide Account Holders with the opportunity to earn cashback on purchases made from various retailers.

 

These services include:

  • The Appre cashback service for transactions made on websites.

  • The Appre Payout service for exchanging cashback for gift cards.


Unless stated otherwise, this Agreement encompasses all Appre Services. Specific terms for individual services are detailed below.

Here's how it operates: Appre receives a referral fee ("Referral Fee") for qualifying purchases made by Account Holders from retailers ("Qualifying Transaction"). Upon confirmation of a Qualifying Transaction, the retailer pays the Referral Fee to Appre. Appre, in turn, disburses cashback payments to Account Holders in accordance with this Agreement.

Account Holders with Qualifying Transactions will notice a positive account balance ("Balance") reflecting the advertised cashback rate on the Appre website. This Balance does not constitute held funds by Appre. Upon request for payment ("Balance Withdrawal Request"), the Balance converts into cashback ("Cashback").

Cashback is disbursed once all necessary checks are satisfactorily completed as per our internal policies. Retailers refer to sellers or service providers who engage in Qualifying Transactions and pay Referral Fees to Appre.

Each Appre Service operates differently:

The Appre cashback service for website transactions: Account Holders make Qualifying Transactions via the Appre website with participating retailers.


The Appre Payout service for gift card exchange: Account Holders can receive Cashback in the form of an e-gift card with an additional payout from select retailers.


Every retailer offer is subject to the respective terms and conditions set by the retailer.

3. Obtaining an Account

​

To obtain an Account, individuals must meet the age requirement of at least 16 years old and are limited to one Account per person. UK residency is mandatory for Appre Account registration.

​

When utilizing or registering for Appre Services, users must furnish precise and current personal details, including accurate name, address, and any additionally requested information. Providing details of a Cashback Withdrawal Method (e.g., bank account) necessitates ensuring entitlement, confirming preference for Cashback receipt via the method, and maintaining accuracy of the method's details, updated through the Account.

Our Privacy Policy outlines how we handle personal information provided via Appre Accounts, including data derived from Cashback Withdrawal Method activity. Be aware that Cashback Withdrawal Methods may impose payment limits.

Crucially, maintaining an up-to-date email address associated with the Account is essential as important communications will be sent there. Any email address changes must be promptly updated within the Account settings.

4. Cashback Information​


In the event of a validated Qualifying Transaction, where we've received the Referral Fee and the Account Holder has submitted a Balance Withdrawal Request as specified in Clause 2 of this Agreement, we initiate the transfer of corresponding Cashback to the Account Holder via their chosen Cashback Withdrawal Method. This transfer is contingent upon the satisfactory completion of all pertinent payment-related checks in accordance with our internal guidelines.

It's essential to recognize that not all interactions with retailers may qualify as Qualifying Transactions, thereby precluding the accrual of Cashback. Various circumstances may result in sums failing to reflect in an Account Holder's Balance and consequently being forfeited, including:

​

  • Receipt of a Referral Fee not tied to a Qualifying Transaction or associated with an Account (e.g., when the Account Holder is not logged into the Appre Service during the transaction).

  • Post-transaction cancellation (e.g., product return or exercise of transaction cancellation rights).

  • Association of a Balance with an Account or Account Holder that:


Is suspended pursuant to Clause 8 of this Agreement.
Is implicated in fraudulent activity or breaches of the Agreement.
Is utilized for proxy purchases or the benefit of another individual.
Remains inactive for over six months, indicating no logins by the Account Holder.

5. Intellectual Property​

Upon submission of any content to the Appre Service, the Account Holder expressly grants:

​

  • To us, a non-exclusive permit (with sub-licensing rights) to employ, replicate, and distribute said content across the Appre Service and any allied interactive platforms facilitated by us or our sub-licensees.

  • To other Account Holders (via us, under the previously mentioned license), the non-exclusive, personal, non-transferable privilege to access the relevant content.

You acknowledge that all intellectual property rights pertaining to the Appre Services (including content contributed by Account Holders or retailers) are either owned or licensed by us. Despite the ease of content duplication from websites, such actions do not confer legality. Consequently, individuals are prohibited from copying, disseminating, publicly exhibiting, or generating derivative works from the Appre Services or any contained content without obtaining suitable licensing from us.

6. Privacy Policy

Our Privacy Protocol delineates our approach to managing your personal data and related affairs.

​

Considering the widespread reach of the Internet, it's important to recognise that content posted on the Appre Service may be accessible to users worldwide.

7. Our Role

​

Appre is not engaged in any dealings with retailers, nor does it act as the vendor or provider of, or give endorsement to, any goods or services they offer. Therefore, we do not assume the legal responsibilities associated with the vendors of said goods or services.

​

Consequently, we relinquish control over or accountability for:

​

  • The caliber, safety, or legality of goods or services provided by retailers.

  • The retailer's ability or intention to furnish and convey rightful ownership of any goods or services.


Account Holders should exercise the same level of caution when engaging in transactions with retailers as they would elsewhere.

​

To the extent permissible by law, you absolve us, our representatives, and employees from any liability stemming from or related to transactions with retailers, including (but not limited to) all claims and requests concerning transactions (completed or not) with retailers, or goods or services proposed for sale or supply, or effectively sold or supplied, within or associated with any transactions with retailers.

8. Misuse of our services

We maintain the authority to suspend or discontinue Account Holders' access to certain portions of the Appre Services if, in our reasonable assessment, the relevant Account Holder or Account seems to violate any stipulation of this Agreement.

​

Accounts should solely be utilized for the Account Holder's own transactions, not for others' benefit.

​

Account Holders are prohibited from engaging in or attempting transactions with retailers or seeking Cashback by:
a) Submitting someone else's personal information or an unauthorized payment method,
b) Unfairly exploiting a retailer's offerings, or
c) Contravening Appre's or the retailer's terms and conditions for the transaction.

​

It is the responsibility of each Account Holder to ensure that any content associated with their Account:

​

  • Isn't defamatory, offensive, or threatening;

  • Doesn't cause undue annoyance, inconvenience, or distress to anyone;

  • Is free from malicious software or any interference with computer operations;

  • Complies with applicable laws and regulations;

  • Respects the rights of individuals and entities, including privacy rights;

  • Provides accurate and fair feedback on retailers, if applicable;

  • Doesn't promote goods or services.


We aren't accountable for reviewing or monitoring such content. If you encounter any material on the Appre Services that violates the aforementioned requirements, please notify us at hello@appre.co.uk.

Each Account Holder acknowledges our right, though not obligation, to remove any material that appears, based on information from third parties or other Account Holders, to violate this Agreement.

9. Third Parties​

​

Should we receive any inquiries regarding material or transactions linked to you or your Account, you consent:

​

  • To furnish all necessary information and aid as deemed reasonable for addressing such inquiries.

  • To promptly and accurately respond if we relay the message to you for a reply.

10. Additional Services​


Occasionally, we or our affiliates might introduce fresh or supplementary services via the Appre Services. Your utilization of these services might entail adherence to additional terms and conditions, which you must adhere to. As long as these terms are communicated to you within the Appre Services in a suitable manner upon your acceptance of the services, any failure on your part to adhere to a significant provision of the terms regulating those services will constitute a violation of this Agreement.

11. Operation of the Appre Service

We maintain the prerogative to retract, amend, or halt components of any Appre Service, or its entirety, for legal, security, technical, or commercial rationales. We aim to provide you with a notice of 30 days in advance before implementing such measures, except in instances where earlier action is imperative due to security concerns or technical hindrances adversely impacting the Appre Service. At times, the Appre Service may become inaccessible due to technical issues faced by Appre or on the Internet; nevertheless, we will exert reasonable expertise and attention to surmount these obstacles within our control. Please be aware, however, that we cannot ensure continuous access to the Appre Service or its content.

Nonetheless, we will endeavor to minimize any planned unavailability periods, of which you will be notified upon accessing the Appre Service at the relevant time.

​

For security or other grounds, we may necessitate you to alter passwords or other access-facilitating information; nevertheless, we will never solicit your password via email, telephone, or any other means besides the www.appre.co.uk website. You bear sole responsibility for safeguarding the confidentiality of your password and any additional identifying details.

12. Liability​

​

We assure that the Appre Services will be administered with reasonable expertise and diligence in line with our specified criteria, but we cannot and do not assure that the Appre Services will fulfill your expectations.

​

Appre shall carry responsibility as explicitly outlined in this Agreement, but shall hold no other commitments, obligations, or liabilities whatsoever, whether in contract, tort (including negligence, breach of statutory duty, and any other tort), or otherwise.

​

Nothing in this Agreement exempts or confines our liability for death or personal injury resulting from our negligence.

Always subject to sub-clause e. below, Appre shall bear liability solely for direct loss or damage, whether in contract, tort (including negligence, breach of statutory duty, or other tort), or otherwise, whether caused by its actions or omissions, or those of its employees, agents, or subcontractors. Appre's cumulative liability over any consecutive twelve-month period, commencing from the inception of your Account, shall be restricted to the fee paid by you for that twelve-month period.

We shall not be liable to you or any other party, whether in contract, tort (including negligence, breach of statutory duty, or other tort), or otherwise:

​

  • for any loss of revenue, business, projected savings, or profits; or

  • for any indirect, special, or consequential loss, damage, expenses, or other demands, irrespective of the cause or origin, whether due to non-provision or belated provision of the Appre Services, non-compliance with this Agreement, or otherwise.


To clarify, nothing in this Clause 12 alters our obligation to provide Cashback to an Account Holder in line with the terms of this Agreement.

Except as explicitly stated elsewhere in this Agreement, all representations, warranties, conditions, and other terms, whether explicit or implicit (by common law, statute, implied by law, or otherwise), are hereby excluded, except in instances of fraud, or where such exclusion is prohibited by law.

​

For clarity, Appre will not assume liability to you or any other party regarding material contributed by Account Holders, transactions (or lack thereof) with retailers, or any action or communication concerning such material or transactions.

​

The provisions of this Clause 12 shall endure beyond the cessation or expiration of this Agreement.

13. Indemnity

​

You commit to indemnify Appre upon request and assume full accountability for all liabilities, claims, and costs that may arise from or in relation to (a) any violation of this Agreement by you or via your Account, or (b) any dealings with a retailer.

14. Assignment​

​

We retain the privilege to transfer this Agreement and to delegate or subcontract any or all of our rights and obligations under this Agreement, ensuring that no assurances provided to you under this Agreement are diminished. You are prohibited from assigning or transferring this Agreement without the written consent of Appre, nor may you delegate any of your rights and obligations under it.

15. Entire Agreement​

​

This Agreement aims to encompass the entirety of your arrangement with us concerning the Appre Services, which we consider equitable and rational. It supersedes all prior agreements and arrangements with you regarding the Appre Services, except in cases involving fraud or deceitful representations by either party.

16. Changes to this Agreement

​

Following a duration of no less than thirty days from the date of publication (or any later date specified in the pertinent publication), if any modifications pertain to an active clause of this Agreement that could potentially impact you detrimentally; if you opt not to adhere to the updated version of the Agreement, you have the option to notify us prior to the effective date of the new version of the Agreement, and as of that date, you must discontinue utilizing the Appre Services; or

Promptly upon the date of publication (or any later date indicated in the relevant publication), if the alterations do not concern active provisions, or if they are not capable of adversely affecting you - instances of which may include, without limitation, alterations to contact details mentioned, or the refinement of existing provisions within this Agreement.

17. General


Should any provision of this Agreement be deemed invalid or unenforceable, the validity and enforceability of the remaining provisions shall remain unaffected. You and Appre operate as separate entities, and this Agreement does not establish or imply any agency, partnership, joint venture, or employer-employee relationship between the parties. Our lack of immediate action regarding a breach by you or others does not forfeit our right to act in response to subsequent or similar breaches.

18. Law

The regulations outlined in this Agreement, along with our association with you and every Account Holder, adhere to the legal regulations set forth by the jurisdiction of England and Wales.

​

Both you and we consent to the non-exclusive jurisdiction of the English courts for the resolution of disputes arising from or related to this Agreement.

19. Keeping this Agreement


The individual Agreements made by Account Holders upon registering for the Appre Services are not stored as separate files. You can retrieve it at www.appre.co.uk. Please ensure to create a lasting copy of this Agreement by printing and/or saving a downloaded version on your personal computer. This Agreement is available exclusively in English.

20. Contact

The legal entity behind the provision of the Appre Services is Appre Ltd, a corporation registered in England and Wales under registration number 14217210, with its registered office located at The Core, Bath Lane, Newcastle Upon Tyne (NE4 5TF), and VAT registration number 461 6782 70. When referring to "Appre," "we," or "us," we are indicating the aforementioned provider.

To facilitate this, your notifications should be transmitted through our contact form, and we will correspondingly dispatch our notifications to the email address you have specified upon registering as an Account Holder, or subsequently updated in your Account details.
